By engaging with our services, you agree to the terms outlined in this document. Please read these terms carefully before proceeding with any project.
1. Scope of Services
Colorama, based in Guadalajara, Mexico, provides creative and production services, including but not limited to animation, motion design, immersive media, and other multimedia solutions as outlined in individual project agreements. Each project is governed by a Scope of Work (SOW) document, which outlines specific deliverables, timelines, and fees.
2. Acceptance of Terms
By signing a contract, approving a proposal, or making payment, you acknowledge your agreement to these Terms and Conditions and the project-specific Scope of Work.
3. Responsibilities of the Client
To ensure efficient collaboration, the Client agrees to:
• Provide all required materials, information, and approvals within agreed timelines.
• Ensure timely feedback to avoid delays.
• Confirm the accuracy of provided content, such as branding assets, scripts, or visual materials.
Failure to provide required inputs may result in delays or additional costs.
4. Project Timelines and Delivery
Project timelines will be specified in the SOW.
Delivery dates are contingent on the Client providing necessary approvals and materials as scheduled.
Delays caused by the Client may result in rescheduling or additional fees.
5. Revisions and Changes
The SOW includes a set number of revision rounds as specified. Additional revisions will incur extra fees.
Any changes to the project scope after agreement will be documented in a Change Order, which may impact costs and timelines.
6. Scope of Animation Expectations
Colorama delivers high-quality immersive experiences designed to captivate audiences within the scope, budget, and timelines outlined in the Scope of Work (SOW). While our work reflects industry-leading craftsmanship, the complexity of animation deliverables will align with available resources and may not match the scale of large studios operating with significantly higher budgets and extended production timelines (e.g., Pixar).
Clients are encouraged to review Colorama’s portfolio as the standard for expected quality. Minor visual imperfections that do not affect the overall experience are acceptable within industry norms. Revisions are limited to those specified in the SOW, and additional requests may incur extra charges. Flexibility and understanding ensure smooth collaboration and successful project delivery.
6. Fees and Payment Terms
All fees are outlined in the SOW and invoiced in US dollars (USD) unless otherwise agreed.
Payments are due as specified (e.g., 50% deposit and 50% upon final delivery).
Late payments may incur interest charges of 5% per month as per applicable Mexican laws.
Payments must be made via approved methods specified in the invoice.
7. Taxes
All fees are subject to applicable taxes, including Value Added Tax (VAT, Impuesto al Valor Agregado or IVA), in accordance with Mexican tax regulations, unless specified in the invoice.
8. Intellectual Property
Ownership of final deliverables is transferred to the Client upon full payment.
Colorama retains the right to showcase the project for promotional purposes unless explicitly restricted by a signed confidentiality agreement.
Source files (e.g., project files) remain the property of Colorama unless otherwise agreed upon in writing.
9. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the project.
10. Cancellations and Termination
Either party may terminate the project by providing written notice.
In the event of cancellation, the Client will be invoiced for work completed up to the termination date.
Deposits are non-refundable unless otherwise specified in the SOW.
11. Limitation of Liability
Colorama will not be liable for indirect, incidental, or consequential damages arising from the use of deliverables. Liability is limited to the fees paid for the specific project.
12. Force Majeure
Neither party will be held responsible for delays or non-performance caused by events beyond their reasonable control, including but not limited to natural disasters, pandemics, strikes, or governmental actions in Mexico.
13. Dispute Resolution
Any disputes arising from these Terms and Conditions or the SOW will first be resolved through mutual negotiation.
If unresolved, disputes will be submitted to mediation or arbitration in Guadalajara, Jalisco, Mexico.
Both parties agree to the jurisdiction of the courts in Guadalajara, Jalisco, for any legal matters.
14. Governing Law
These Terms and Conditions are governed by the laws of the United Mexican States (Estados Unidos Mexicanos) and the State of Jalisco.
15. Amendments
Colorama reserves the right to amend these Terms and Conditions at any time. Updates will be communicated via our website, and continued engagement with our services constitutes acceptance of the updated terms.
16. Language and Interpretation
These Terms and Conditions are drafted in English. If a translation into Spanish or any other language is provided, the English version will prevail in case of discrepancies.
